B. Jason Forshee, founding member of Forshee, PLLC, is a seasoned attorney with more than 25 years of experience in both top-tier law firms and in-house environments representing clients in domestic and international corporate mergers, reorganizations, acquisitions and divestitures; joint ventures; securities offerings and other corporate finance transactions; business entity formations; and private equity and other investment fund formations.

Jason counsels clients on the many relevant federal, state and local and international tax issues affecting their transactions and other corporate and partnership matters. In addition, Jason regularly counsels clients in everyday matters, including corporate governance, corporate and partnership/LLC law issues, and commercial agreements.

He graduated from the University of Mississippi School of Law where he served as the Executive Editor of the Mississippi Law Journal and continued his education at Georgetown University Law Center, where he graduated with a Master of the Laws (LL.M.) degree in Taxation, with distinction.

Prior to starting Forshee, PLLC, Jason was a Member of Exall Legal Advisors PLLC until 2023 and was also a corporate and tax partner in Mayer LLP, Egan Nelson LLP, Patton Boggs LLP, and Strasburger & Price LLP. Jason also served as an in-house Senior Tax Counsel at Dell Inc.

  • Represented insurance company in corporate spin-off and subsequent multi-million dollar stock sale of company

  • Represented Medicare compliance and settlement planning service provider in asset sale transaction

  • Represented private medical implant company in exclusive distribution and supply arrangement and separate multi-million dollar divisional asset sale

  • Represented family office in multiple real estate joint ventures and private lending transactions

  • Represented registered investment advisor in connection with its formation of $40 million infrastructure investment fund

  • Represented private logistics company in multi-million dollar series seed preferred stock financing

  • Lead tax counsel for private equity company in connection with $41 million acquisition of privately-owned cell phone tower business

  • Lead tax counsel for dental management company in connection with the sale of its dental practice management business to private equity group for approximately $42 million cash

  • Lead tax counsel for structuring multi-hundred million dollar deferred like-kind exchange of downtown Dallas landmark office building
